Business Succession Planning

Nicholas Howie is a Partner in the Corporate team at the law firm, Lindsays LLP.
Lindsays LLP is a Scottish firm of experienced lawyers for people and businesses with offices in Edinburgh, Glasgow, Dundee, Perth and Crieff.
Nicholas will:
· Discuss the two main methods of selling / purchasing a business:
· Asset purchase – This involves the buyer acquiring a collection of assets and rights, and sometimes assuming responsibility for certain liabilities, relating to the target business. This might be the only option for selling / purchasing the target business if the target business is operated by an individual sole trader or a partnership.
· Share purchase – This involves the buyer acquiring a majority or all of the shares in the company that carries on the target business.
· Provide an overview of the two transaction types and highlight some of the key differences between them.
· Discuss other methods that may be suitable in certain circumstances, including partnership (the retirement and/or introduction of a partner) and employee-ownership trusts (EOTs).
· Discuss how to structure a sale / purchase and explain:
· Heads of terms;
· Sale and purchase agreements;
· Disclosure letter;
· Property arrangements;
· Employee arrangements; and
· Completion and post-completion matters.
